These Terms of Service apply to your use of the Explicit Mathematics Program website and online store and to purchases made from Explicit Mathematics Program Pty Ltd (EMP).

By using our website or placing an order with EMP, you agree to these Terms of Service.

2. Products and Information

EMP provides educational resources, including teacher resources, student workbooks, assessment materials and associated digital resources and services.

We take reasonable care to ensure product descriptions, images, pricing and other information displayed on our website are accurate.

From time to time, minor differences may occur between product images or descriptions and the products supplied, including changes arising from updated editions, printing or production.

3. Orders

When you place an order, you are responsible for ensuring that the products, year levels, quantities, school or organisation details, delivery address and contact information provided are correct.

Submission of an order does not necessarily mean that EMP has accepted the order.

EMP may contact you if further information is required to process an order.

We reserve the right to refuse or cancel an order where there has been an obvious pricing or product error, suspected fraudulent activity, stock availability issue, or another reasonable basis for doing so.

If payment has already been received for an order that we cancel, the applicable amount will be refunded.

4. Pricing and GST

Prices displayed on our website will indicate whether GST is included or excluded.

Any applicable GST, delivery, freight or other charges will be displayed or communicated as part of the ordering process before the order is finalised.

Prices may change from time to time. Changes will not affect orders already accepted by EMP unless agreed with the customer.

5. Payment

Orders must be paid using one of the payment methods made available by EMP.

Where EMP allows payment by invoice or other approved payment arrangements, payment must be made in accordance with the terms shown on the invoice.

EMP may withhold dispatch, access to resources or other services associated with an order until required payment has been received.

6. Delivery

Delivery times provided by EMP are estimates unless expressly stated otherwise.

While we take reasonable steps to dispatch orders promptly, delivery may be affected by circumstances outside our reasonable control, including freight carrier delays, weather events, supply disruptions and other unforeseen circumstances.

Customers are responsible for providing an accurate and suitable delivery address.

7. Returns, Refunds and Consumer Rights

Please choose products, year levels and quantities carefully.

EMP does not generally accept returns or provide refunds or exchanges for change of mind, incorrect selection, over-ordering or where products are no longer required.

This does not affect your rights under the Australian Consumer Law.

Faulty, damaged, incorrectly supplied or materially misdescribed products will be handled in accordance with our Returns and Refund Policy and applicable Australian Consumer Law.

8. Digital Resources and Portal Access

Purchase of a physical EMP book or individual resource does not, by itself, provide access to all EMP digital resources, online services or portal content.

Where portal or digital access forms part of a particular purchase, subscription, licence or arrangement, access is provided in accordance with the applicable conditions for that product or service.

Access may be limited by school, organisation, year level, subscription period, licence or other entitlement.

Login details and access credentials must only be used in accordance with the access arrangements provided by EMP.

EMP may suspend or restrict access where there is unauthorised use, misuse of resources, a security concern, or where the relevant access entitlement has expired or has not been paid for.

9. Intellectual Property

Unless otherwise stated, EMP owns or is authorised to use the intellectual property contained in its books, resources, website, digital materials, presentations, downloads and associated content.

EMP resources are protected by copyright and other intellectual property laws.

Purchasing an EMP resource gives the purchaser the right to use that resource in accordance with the licence or usage conditions applying to it. Ownership of a physical book does not transfer ownership of the intellectual property contained within it.

EMP materials must not be reproduced, copied, scanned, uploaded, distributed, shared, modified, published or made available to others except where expressly permitted by EMP or by law.

Any specific printing, copying or internal school-use permissions provided with a resource continue to apply to that resource.

10. Acceptable Use of Our Website and Services

You must not use our website, digital resources or services:

• for any unlawful or fraudulent purpose;

• to interfere with the security or operation of our systems;

• to attempt to gain unauthorised access to resources, accounts or information;

• to distribute malicious software or harmful material; or

• in a way that infringes EMP's or another person's intellectual property or other legal rights.

11. Third-Party Services

Our website and services may use or link to third-party services, including ecommerce, payment, delivery, hosting and other technology providers.

EMP is not responsible for the operation or content of independent third-party websites or services except to the extent required by law.

12. Availability of Website and Digital Services

We aim to keep our website and digital services available and operating reliably.

However, we do not guarantee uninterrupted availability. Access may occasionally be unavailable because of maintenance, upgrades, technical issues or circumstances outside our reasonable control.

13. Liability

Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy that cannot lawfully be excluded under the Australian Consumer Law or other applicable legislation.

To the extent permitted by law, EMP is not responsible for indirect or consequential loss arising from use of our website, products or services.

14. Privacy

Personal information collected through our website, online store and interactions with EMP is handled in accordance with our Privacy Policy.

15. Changes to These Terms

EMP may update these Terms of Service from time to time, including to reflect changes to our products, services, website or legal requirements.

The current version will be published on our website with the date it was last updated.

Terms applying to an accepted order will generally be those in effect when the order was placed, subject to any rights or obligations that apply by law.

16. Governing Law

These Terms are governed by the laws of Queensland, Australia.

Nothing in these Terms limits any rights you may have under applicable Australian consumer protection legislation.
